1. Agreement and eligibility
These Terms of Service (the "Terms") are an agreement between Iron Peak Technologies LLC ("Iron Peak," "we," "us," or "our") and the person or organization using Venue Command (the "Customer," "you," or "your"). By creating an account, starting a subscription, or using the service, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and able to enter into a binding agreement. If you use Venue Command for a company or other organization, you represent that you have authority to bind it. Venue Command is currently offered for use in the United States.
2. Venue Command
Venue Command is a hosted software service for centralizing venue setup and operational planning, including rooms, floor plans and layouts, table catalogs, events, and collaboration among authorized users. Features may evolve over time. We may improve, add, modify, or discontinue features, provided that we will not avoid obligations already owed to you under applicable law.
We grant you a limited, nonexclusive, nontransferable right to access and use the service during your authorized trial or paid subscription for your internal business purposes, subject to these Terms.
3. Accounts and authorized users
You are responsible for accurate account information, maintaining the confidentiality of credentials, and activity under your account. You must promptly notify us at support@venuecommand.app if you suspect unauthorized access.
You may permit your personnel to use the workspace. You are responsible for those authorized users and for configuring their access appropriately. You may not share credentials with unauthorized people, impersonate another person, or use the service for an organization without permission.
4. Customer data and ownership
You retain your rights in information and content that you or your authorized users submit to Venue Command ("Customer Data"). You grant us a limited license to host, copy, back up, process, transmit, and display Customer Data only as necessary to operate, secure, support, and improve the service and to meet our legal obligations.
You represent that you have the rights and permissions needed to provide Customer Data, including any client or contact information entered for events. You are responsible for the accuracy, legality, and appropriate use of that information.
Iron Peak and its licensors retain all rights in Venue Command, its software, design, documentation, branding, and related intellectual property. No rights are granted except those expressly stated in these Terms.
5. Acceptable use
You may not use Venue Command to violate law or another person's rights; upload malicious code; probe, disrupt, overload, or bypass service security; reverse engineer the service except where law expressly permits it; scrape or access the service through unauthorized automated means; resell or sublicense access; or use the service to develop a competing product through unauthorized copying.
We may investigate suspected misuse and take proportionate steps to protect the service, other customers, and third parties.
6. Third-party services
Venue Command relies on service providers, including Stripe for hosted Checkout and subscription management, Google reCAPTCHA for registration security, Amazon SES for outbound email delivery, Google Workspace for business email, and hosting and infrastructure providers. Your use of third-party services may also be governed by their terms and privacy policies. We are not responsible for a third party's independent services, systems, or acts.
Payment card information is entered directly in Stripe-hosted interfaces and is not stored by Venue Command. We receive limited billing identifiers and subscription status information needed to administer access and support.
7. Trial, subscription, and payment
Venue Command costs $149.99 per month. Eligible new customers receive a 14-day free trial. A payment method is required to begin the trial. Unless canceled before the trial ends, the subscription automatically converts to a paid subscription and renews monthly at $149.99 until canceled.
You authorize Stripe and us to charge the payment method associated with your subscription for recurring fees and applicable taxes. Subscription fees are charged in U.S. dollars. You are responsible for taxes that apply to your purchase, except taxes based on our net income.
We may change pricing prospectively. If we do, we will provide notice required by applicable law before the change applies. A price change does not alter fees already paid or due for a period that began before the change.
If payment fails, Stripe may retry collection and your access may remain temporarily available while payment is retried. We may restrict or end access if a subscription becomes unpaid, canceled, paused, incomplete, or otherwise no longer eligible for access.
8. Cancellation and refunds
You can manage and cancel an eligible subscription from Account Settings by selecting Manage Subscription, which opens the Stripe Customer Portal. Cancel before the displayed trial end to avoid the first charge. When Stripe schedules cancellation for the end of the current period, access ordinarily continues until the displayed trial or paid-period end and the subscription will not renew. If Stripe records an immediate or final cancellation, access may end at that time.
Except where required by law or expressly approved by us, subscription charges are nonrefundable and we do not provide prorated credits for unused time. Our complete policy, including how to report a duplicate or erroneous charge, appears in the Refund and Cancellation Policy.
9. Availability, changes, and backups
We work to keep Venue Command available and secure, but the service may be interrupted for maintenance, updates, provider outages, security events, or circumstances beyond our reasonable control. We do not promise uninterrupted or error-free operation.
You are responsible for maintaining copies of information you need independently. The service is not a substitute for emergency, life-safety, payment-processing, or legally required recordkeeping systems.
10. Suspension, termination, and data
You may stop using the service at any time, but stopping use does not itself cancel billing. We may suspend or terminate access for material breach, unlawful or dangerous use, security risk, nonpayment, or where required by law. When practical, we will provide notice and an opportunity to cure a remediable breach.
Canceling a subscription does not automatically delete the workspace or all associated records. You may request account or data deletion by contacting support. We may retain billing, security, communications, legal, dispute, and backup records where reasonably necessary or required. See the Privacy Policy for more information.
11. Disclaimers
To the maximum extent permitted by law, Venue Command is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the service will meet every operational requirement or that Customer Data will never be lost or accessed improperly. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
12. Limitation of liability and indemnity
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from these Terms or the service, even if advised that such damages were possible.
To the maximum extent permitted by law, Iron Peak's aggregate liability arising from these Terms or Venue Command will not exceed the fees you paid to us for the service during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited.
You will defend and indemnify Iron Peak from third-party claims arising from your Customer Data, your unlawful or unauthorized use of the service, or your material breach of these Terms, except to the extent caused by our own breach or misconduct.
13. General terms
Wisconsin law governs these Terms, without regard to conflict-of-law rules. Subject to any rights that cannot lawfully be waived, disputes will be brought in the state or federal courts located in Wisconsin, and each party consents to their jurisdiction.
Neither party is liable for delay caused by events beyond its reasonable control. You may not assign these Terms without our consent, except in connection with a permitted merger or sale of substantially all relevant assets. We may assign these Terms as part of a merger, reorganization, or sale. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver.
These Terms, the Privacy Policy, and the Refund and Cancellation Policy form the agreement concerning Venue Command and supersede prior discussions on their subject matter. We may update these Terms prospectively and will post the updated date. If a change materially affects your rights, we will provide reasonable notice as required by law. Continued use after an update takes effect constitutes acceptance.
